Welcome to Enermyx! These Terms of Service outline the rules and regulations for the use of our services.
1. Acceptance of Terms
By accessing this website, submitting an inquiry, engaging in consultation, or commissioning any service from Enermyx, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms of Service.
If you do not agree to these Terms in full, you must refrain from using our services. Engagement with Enermyx constitutes acceptance regardless of whether a formal contract has been executed.
2. Changes to Terms
Enermyx reserves the right to amend, revise, or update these Terms at any time to reflect operational, legal, or regulatory changes. Updated versions will be published on this page.
Continued engagement, communication, or payment after such updates shall constitute acceptance of the revised Terms.
3. Capacity to Contract
By engaging Enermyx, you represent and warrant that you are of legal age, possess full mental capacity, and are legally authorized to enter into binding contractual obligations under applicable law.
You further affirm that you are not acting under duress, impairment, intoxication, or legal restriction, and that you have the authority to bind yourself or the entity you represent.
Enermyx reserves the right to refuse service, suspend engagement, or terminate agreements where contractual capacity is absent or misrepresented.
4. Intellectual Property
All intellectual property developed, created, or disclosed by Enermyx—including but not limited to designs, schematics, code, firmware, algorithms, documentation, research outputs, methodologies, and prototypes—shall remain the exclusive property of Enermyx unless expressly transferred in writing.
Clients are granted a limited, non-exclusive, non-transferable, and revocable license to use deliverables strictly for the agreed purpose. No ownership rights are transferred by default.
Unauthorized reproduction, modification, reverse engineering, redistribution, or commercial exploitation is strictly prohibited and may result in legal enforcement.
5. Service Availability
Enermyx provides services on an availability and capacity-controlled basis. While reasonable efforts are made to maintain continuity, uninterrupted or error-free service is not guaranteed.
Enermyx reserves the right to suspend, modify, or discontinue any service, feature, or engagement where necessary for operational, technical, or strategic reasons.
6. Payment Terms
Enermyx operates as a professional engineering, research, and product development firm. All payments reflect allocation of engineering time, intellectual effort, and opportunity cost.
Fixed-Term Engagements: Projects with defined scope, deliverables, and timelines require a 70% non-refundable deposit prior to commencement. The remaining 30% is due upon completion and must be paid before release of final deliverables.
Agile & Research-Based Engagements: Exploratory or iterative projects require an initial non-refundable engagement deposit. Subsequent payments are billed per milestone, phase, or time allocation. Deliverables are released only upon receipt of payment for each stage.
Authorized Payment Channel: All payments must be made exclusively via Paystack. Enermyx does not accept cash, personal accounts, or direct bank transfers.
Enermyx bears no liability for payments made outside authorized channels. Any unauthorized payment requests must be reported to support@enermyx.com immediately.
Our e-commerce store operates under separate payment and refund terms.
7. Project Timelines & Client Responsibilities
Project timelines depend on scope complexity, technical validation, component availability, and iteration cycles. Timelines provided are estimates, not guarantees.
Clients are responsible for timely communication, approvals, and provision of required materials. Delays caused by the client may result in revised schedules or additional costs.
8. Limitation of Liability
To the fullest extent permitted by law, Enermyx shall not be liable for indirect, incidental, consequential, or special damages, including loss of data, revenue, or business opportunity.
All deliverables are provided “as-is” and are intended for research, prototyping, or agreed application only. Final responsibility for implementation rests with the client.
9. Exclusive Access & Engagement Limits
Enermyx intentionally limits the number of concurrent engagements to preserve engineering quality, research depth, and execution focus.
As a result, some projects may be deferred or declined. Payment secures priority placement within our development pipeline.
10. Consultation
Free Consultation: We offer a 30-minute initial session to understand your project and see if it’s a good fit. This session is non-negotiable.
If your project shows promise, you can choose to continue with a detailed technical consultation.
Consultation Fees: Once discussions move beyond the initial session into technical evaluation or feasibility analysis, a non-refundable fee applies.
Extended consultations are a one-time fee of $569. This fee is separate from any project deposit unless explicitly stated.
11. Contract Structure
Engagements operate under either Fixed-Term or Agile contract models. The selected model governs scope, billing, timelines, and revision handling.
12. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of Ghana.
